In thisconnection, to finance the takeover, TAG is implementing a capital increasefrom authorised capital in the amount of up to EUR 11,607,249, and issuinga convertible bond from existing contingent capital in the amount of up toapprox. EUR 70,000,000.The subscription period for both capital measures begins on Monday, 22November 2010 and ends on 6 December 2010. The number of subscriptionrights shareholders are entitled to is calculated based on their respectiveshareholding on 19 November 2010 after close of trade.The subscription ratio is 4:1 for the new shares and 5:1 for theconvertible bonds. The final terms and conditions, including thesubscription price for the shares and, with regard to the convertiblebonds, the subscription price, par value per bond, conversion price,interest rate, issue yield and redemption price, will be published by threecalendar days prior to the end of the subscription period at the latest.The new shares and convertible bonds are scheduled to be issued on 10December 2010.
