It would be achieved through issuingas many as 5,856,636 new shares, i.e. in the amount of nearly 10 percent ofthe existing share capital, at a minimum subscription price of EUR 7.00.The new shares will be offered to shareholders by way of indirectsubscription right, at a subscription ratio of 10 to 1. In other words,each shareholder can subscribe to one new share for every ten sharesalready held by him. The new shares will be entitled to a dividend from 1January 2011. Shares not subscribed to will be offered on aprivate-placement basis in Germany and certain other countries.
